Commission approves acquisition of joint control over Prosegur Alarmas by Telefónica and Prosegur

The European Commission has approved unconditionally, under the EU Merger Regulation, the proposed acquisition of joint control over Prosegur Alarmas by Telefónica and Prosegur. The Commission concluded that the transaction would raise no competition concerns in the European Economic Area. Under the proposed acquisition, Telefónica will acquire half of the shares of Prosegur Alarmas from Prosegur, which leads to joint control over Prosegur Alarmas by Telefónica and Prosegur.

 
Commission approves ZF’s acquisition of Wabco

The European Commission has approved unconditionally, under the EU Merger Regulation, the proposed acquisition of WABCO by ZF. The Commission concluded that the transaction would raise no competition concerns in the European Economic Area. ZF and Wabco are both manufacturers of various commercial vehicle components, in particular for medium and heavy commercial vehicles (“MHCV”). The companies' product portfolios are largely complementary in the MHCV market. ZF's focus is on steering, chassis and driveline products such as transmission systems, for both cars and commercial vehicles, while Wabco's focus is on braking and active safety technologies for commercial vehicles.

 
Commission opens in-depth investigation into proposed acquisition of DSME by HHIH

The European Commission has opened an in-depth investigation to assess the proposed acquisition of Daewoo Shipbuilding & Marine Engineering CO., Ltd (DSME) by another shipbuilding group, Hyundai Heavy Industries Holdings (HHIH), under the EU Merger Regulation. The Commission is concerned that the merger may reduce competition in various global cargo shipbuilding markets.

 
Commission clears E.ON's acquisition of Innogy, subject to conditions

The European Commission has approved, under the EU Merger Regulation, the acquisition by E.ON of Innogy's distribution and consumer solutions business as well as certain of its electricity generation assets. The approval is conditional on full compliance with a commitments package offered by E.ON.
